There's no way to make a cash payout tax-free.

Couldn't they achieve substantially that by making the cash payout consist entirely of the fractional share left after an all stock/partnership share transaction?

If you received a paper letter from the IRS, the letter is probably legit.

I asked whether I could simply withdraw the money, leaving a nickel.... They sent me monthly statements for the 5 cent balance for about another five years....

Should've offered to sell them the nickle after that.
